BNP AI — Terms of Service & License Agreement (EULA)

1. Nature of this Agreement

• This EULA governs your use of BNP AI. It explains key points including: (a) how we license the Service to you (the Service is licensed, not sold); (b) disclaimers of warranty and limitation of liability; and (c) dispute resolution (including arbitration where applicable).
• You consent to the collection and use of information described in our Privacy Policy (incorporated by reference).

2. General

• Service description: BNP AI provides AI-assisted rendering, 3D modelling, visual content generation and related tools and services for architecture, product visualization and creative workflows (“Services”). Available features depend on your plan and the product version.
• Acceptance of policies: Use of the Service is subject to this EULA, the BNP AI Privacy Policy, and any other agreements or policies expressly incorporated herein.
• Third-party fees: You are responsible for all third-party fees (internet, data charges, payment processor fees) incurred in using the Service.
• Changes: BNP AI may modify or update the EULA at any time by posting an updated version. Your continued use after changes constitutes acceptance.
• Credit-Based Model: The Service operates on a credit-based system. Users can purchase credits that are deducted as they generate renders or use paid features. Credit usage varies depending on the complexity or type of task.

3. Eligibility & Accounts

• Eligibility: You must meet the minimum digital consent age applicable in your country to use the Service. In most regions this age is 13, while certain jurisdictions (including parts of the EU/EEA) require users to be 16 or older. If you are using the Service on behalf of a company or organization, you represent that you are authorized to bind that entity.
• Registration & account data:All BNP AI services require a registered account. You agree to provide accurate information during sign-up and keep your login credentials confidential. You are responsible for all activity that occurs under your account. If you believe your account has been accessed without authorization, please notify us immediately at info@bricksnpixels.ai
• Single-user accounts: Each registered account is for single-user access unless otherwise permitted in writing

4. License Grant & Restrictions

• License to use the Service: Subject to your compliance with the EULA, BNP AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal use.
• Restrictions: You agree not to misuse the BNP AI platform. This means you will not try to copy or replicate the Service, attempt to access or modify our systems, reverse-engineer how the platform works, bypass security, scrape or harvest data, or use the Service to build or train a competing product. Automated tools, bots, or scripts may not be used unless BNP AI gives written permission. All access and usage must be through your registered account and in the manner intended by BNP AI.
• Updates: BNP AI may update or improve the platform from time to time. All updates, new features, and enhancements are covered by this same agreement unless we explicitly state otherwise in writing.

5. User Content and Intellectual Property

• User Content Ownership: You retain full ownership of all content you upload or generate (“User Content”).
• Limited License to BNP AI: By using the Service, you grant BNP AI a limited, non-exclusive, revocable license to use your content solely for:
  1. Providing the Service and delivering outputs.
  2. System improvement and AI model enhancement (only with explicit consent).
  3. Internal testing and analytics.
• Marketing & Portfolio Use:You, the user, agree that unless you specifically request otherwise, BNP AI may use your final renders, visuals, and other non-confidential outputs for portfolio displays, demonstrations, marketing materials, case studies, and promotional content. BNP AI will never publish confidential items such as CAD drawings, internal documents, client names, or sensitive project details. You may request exclusion or removal at any time, and BNP AI will comply with such requests promptly
• Generated Outputs: Users are the sole owners of their AI-generated renders and outputs once credits have been consumed and payment is complete. BNP AI retains no claim over commercial ownership of user-created visuals.

6. Content Standards & Prohibited Uses

• You will not use the Service to upload, generate, or distribute content that is illegal, infringing, defamatory, pornographic, abusive, hateful, violent, or that violates privacy or publicity rights.
• You will not create, upload or distribute viruses, malware, or any material that could damage, disable or impair the Service or others’ devices.
• BNP AI may remove or refuse to host any User Content that violates these terms. Repeated violations may result in suspension or termination.

7. Payments, Subscriptions & Third-Party Processors

• Fees: Access to certain features requires payment. All fees are described on our pricing page and are subject to change with notice.
• Payment processors: Payment and billing are handled by third-party payment processors. BNP AI does not store your full credit card details. You must comply with the terms of the applicable processor.
• No refunds: Unless otherwise provided, subscriptions are non-refundable for the current billing period. BNP AI may offer refunds or credits at our discretion.

8. Service Level, Availability & Updates

• Provided as-is: The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind. BNP AI does not guarantee uptime, accuracy, or suitability for any particular purpose.
• Rate limits: We may impose rate limits to ensure fair usage and quality of service.
• Modifications: BNP AI may modify or discontinue features at any time.

9. Security & Data

• Privacy: BNP AI’s collection and use of personal data is governed by our Privacy Policy. Contact info@bricksnpixels.ai for privacy-related requests.
• User responsibility: You are responsible for maintaining your own backups of User Content and Generated Assets. BNP AI may retain copies as specified in the Privacy Policy.

10. Confidentiality, NDA & Image Rights

• NDA: BNP AI offers NDAs on request. If an NDA is executed, its terms will govern confidentiality obligations for covered materials
• Standard Image Rights: By default, BNP AI may use non-confidential final deliverables (renders, images) in its portfolio, marketing, and promotional materials. Confidential supporting files (CADs, contracts, client documents) will not be published.
• Exclusive Image Rights: Clients may purchase Exclusive Image Rights to prevent BNP AI from using deliverables for marketing; such rights must be agreed in writing and may require an additional fee.

11. Copyright Policy & Takedown Procedure

• Complaint: If you believe that content hosted by BNP AI infringes your copyright, send a written notice to info@bricksnpixels.ai with: (i) identification of the copyrighted work; (ii) identification and location of the infringing material; (iii) your contact information; (iv) a statement of good faith belief; and (v) a statement under penalty of perjury that the information is accurate.
• Counter-notice: If your content was removed and you believe removal was mistaken, submit a counter-notice with the required information. BNP AI will follow applicable law in processing takedown/counter-notice requests.

12. Feedback

• If you submit ideas, suggestions, or feedback to BNP AI, you acknowledge that BNP AI may use, adapt, or incorporate such feedback into its products or services without any obligation, compensation, or acknowledgment to you.

13. Termination & Suspension

• BNP AI may suspend or terminate your access for violations of the EULA or applicable law. You may also terminate by discontinuing use and closing your account.
• Termination does not relieve you of payment obligations incurred prior to termination. Surviving provisions (intellectual property, indemnity, limitation of liability) remain in effect.

14. Disclaimers; No Warranties

• TO THE MAXIMUM EXTENT PERMITTED BY LAW, BNP AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SERVICE IS PROVIDED “AS IS.

15. Limitation of Liability

• TO THE FULLEST EXTENT PERMITTED BY LAW, BNP AI AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF POSSIBILITY OF SUCH DAMAGES. 15.2. BNP AI’s aggregate liability for direct damages will not exceed (a) the fees paid by you to BNP AI in the 12 months prior to the claim, or (b) INR 10,000 (Indian Rupees Ten Thousand), whichever is higher. Some jurisdictions do not permit such limitations; they may not apply to you.

16. Indemnification

• You agree to indemnify, defend and hold BNP AI, its officers, employees and partners harmless from any claims, liabilities, costs, damages and expenses (including reasonable legal fees) arising from your breach of the EULA, violation of law, or infringement of third-party rights.

17. Governing Law & Dispute Resolution

• Governing law: Unless otherwise agreed, these Terms are governed by the laws of the Republic of India, without regard to choice-of-law rules.
• Dispute resolution: If a dispute arises, the parties will attempt to resolve it amicably within 30 days. If unresolved, disputes shall be submitted to arbitration in Noida, India under the Arbitration and Conciliation Act, 1996 (or successor law). Each party bears its own legal costs. Notwithstanding the above, BNP AI may seek injunctive or other equitable relief in any competent court.

18. Miscellaneous

• Assignment: You may not assign your rights under this EULA without BNP AI’s prior written consent; BNP AI may assign without restriction.
• Severability: If any provision is invalid or unenforceable, remaining provisions remain in force.
• Entire agreement: This EULA, the Privacy Policy and any documents expressly incorporated herein constitute the entire agreement between you and BNP AI regarding the Service.
• Electronic communications: You consent to receive communications electronically.
